Weens die huidige omstandighede rondom die Nasionale Ramp Status van COVID-19 en die opheffing van beweging, kan ons nie voortgaan met die 2de Krediteure stemmings vergaderings ingevolge die wet nie.
Ons wil dus 'n aanduiding kry van wie ten gunste van die plan is en om die formele vergaderingsdokumentasie ten opsigte van gevolmagtigdes, die sessie van die eise en die opsies wat die beleggers kan kies, te finaliseer.
Hierby heg ek die volgende aan vir jou inligting, om voltooi te word, te teken en terug te stuur:
- Omsendbrief vir alle betrokke partye
- Vorm van Volmag/Verteenwoordiging - om ten gunste van die plan te stem,buite stemming te
bly of dit te verwerp. Merk ook watter opsie die belegger kies. - Sessie van eis - benewens die uitoefening van die gekose opsie, teken asseblief die sessie /
verkoop van die eis, vir ons om met die proses te begin. - Stuur ondertekende dokumentasie na: admin@orthotouch.co.za
Ek sien uit daarna, om u terugvoer te ontvang.

Ek verwys na die gepubliseerde besigheidsreddingsplanne (“BR-planne”) met betrekking tot die ondernemings, albei BR-planne is gepubliseer ingevolge die bepalings van en voldoen aan die vereistes van die Maatskappywet 71 van 2008.
Ek vertrou dat u die BR-planne deeglik gelees het, aangesien dit die belangrikste is dat die volledige storielyn en gebeure van die begin tot die datum hiervan, rakende u belegging, in ag geneem word by die neem van 'n ingeligte besluit oor hoe om te stem ten opsigte van die BR-planne.
U, die beleggers, is uiteindelik die besluitnemers om die BR-planne goed te keur of nie.
Die BR-planne gee 'n holistiese siening van gebeure en nie net gedeeltes nie.
Die BR-planne stel u in kennis van u belegging en die opbrengste wat u ontvang het tot op die datum van publikasie van die BR-planne, tesame met die opsies wat voorlê: Opsie 1, aandele, in 'n genoteerde maatskappy, waarvan u in beheer sal wees en u eie besluite kan neem of u wil verkoop of nie ,ingevolge u goeddinke, om die aandele te hou totdat die waarde mettertyd sal toeneem of Opsie 2, 'n vaste kontantbedrag . Beide opsies se waardes is soos aangedui in aanhangsel 8.1 van die BR-planne wat onder u spesifieke naam aangeteken is.
Onlangse mediaberigte ten tyde hiervan, verwys slegs na sekere gedeeltes van die BR-planne wat buite konteks aangehaal is, is onder my aandag gebring en dit wil voorkom asof daar slegs negatiewe aannames beklemtoon word in plaas daarvan om alle beskikbare feite te noem. Die media-artikel het die BR-planne nie behoorlik blootgestel nie, omdat die opsomming van die gebeure tot op hierdie stadium nie na behore behandel is nie. (wat soortgelyk is aan iemand anders om vir u te lees uit 'n boek waar die leser slegs 'n paar bladsye en paragrawe lees en u self aannames maak oor die einde.) Ek sou voorstel dat u die hele boek self lees en vorm dan u eie mening daaroor.
Hou in gedagte dat bogenoemde mediaveldtog deur 'n klein aantal mense gedryf word, elkeen met hul eie agenda's en doelstellings.
My doel is nog steeds dieselfde as van die eerste dag af, om na die beste van my vermoë korrekte feite aan die beleggers voor te lê, en die beste moontlike opbrengs, met die addisionele doel om 'n beter opbrengs te behaal as wat die beleggers in 'n likwidasie sal ontvang.
Ek doen 'n beroep op u om alle beskikbare inligting en dokumentasie te lees en vertroud te raak om u in staat te stel om u eie besluit te neem, aangesien dit u geld behels en u moet besluit.
Ek sien uit daarna om u magtiging te ontvang met die keuses wat u verkies om sake so gou as moontlik af te handel.

Due to the current circumstances surrounding the National State of Disaster of COVID-19 and the lockdown, we are unable to proceed with the physical 2nd Creditors voting meetings in terms of the act.
We would, therefore, like to get an indication of who is in favour of the plan as well as finalise the formal meeting documentation in terms of proxies, the cession of claim and the options the investors will be selecting going forward.
I attach hereto the following for your attention:

- Proxy – to vote in favour of the Plan, abstain or reject same. Please also select which option the
investor will choose going forward. - Cession of Claim – in addition to exercising the chosen option, kindly sign the cession / sale of

Dear Creditor/Investor
ORTHOTOUCH (PTY) LIMITED / ZEPHAN PROPERTIES (PTY) LIMITED (“the Companies”)
I refer to the Published Business Rescue Plans (“BR Plans”) relating to the companies, both of which BR Plans were published in terms of the provisions of and compliance with the requirements of the Companies Act 71 of 2008.
I trust you have read the BR Plans thoroughly, as it is most important that the full storyline and events from the beginning and to the date hereof, regarding your investment is taken into account when making an informed decision as to how to vote in respect of the BR Plans.
You, the investors, are ultimately the decision makers in approving the BR plans or not.
The BR plans give you a holistic view of events and not just “bits and pieces”.
The BR plans inform you of your investment and the returns that you have received to the date of publication of the BR Plans, together with the options going forward being Option 1, shares ,in a listed company, of which you will be in control of and in respect of which you may make your own decisions as to whether to sell or not, as and when you see fit or to hold onto for the value to increase over time or Option 2, being a fixed cash amount. Both options’ values are as referred to in annexure 8.1 of the BR Plans noted under your specific name.
Recent media reports at the time hereof, only refer to certain portions of the BR Plans and quoted out of context have been brought to my attention and which would appear to be only be highlighting certain negative assumptions instead of stating all the facts available. The media article has not afforded the BR Plans proper exposure in that the summary of the events leading up to this point have not been properly dealt with. (which is similar to allowing someone else to read to you from a book where the reader only reads a couple of pages and paragraphs and leave you to make your own assumptions regarding the ending.) I would propose that you read the whole book yourself and then form your own opinion thereof.
Kindly keep in mind that the abovementioned media campaign is driven by a small number of people, each with their own agendas and aims.
My aim is still the same as it was from day one and which is to present to the Investors, to the best of my ability, with the correct facts and the best return possible, with the additional aim to achieve a better return than what they would have received in a liquidation.
I urge you to read and familiarise yourself with all available information and documentation to enable you to make your own decision as it involves your money and is for you to decide.
I look forward to receiving your proxies with the election you prefer to finalise matters as soon as possible.
